TXR 1803 — Commercial Letter of Intent to Purchase

This is a non-binding letter of intent used to summarize the general terms of a proposed commercial real estate purchase between a buyer and seller. It outlines key deal points such as price and how it is funded (cash, third-party financing, assumption, seller financing), earnest money, title company, feasibility period, financing contingency, closing date, who pays for the title policy and the survey-exception amendment, survey and reimbursement caps, deed type, the brokers and their fees, property condition and seller repairs, assignment, and special provisions. It states expressly that neither party is bound until a definitive contract (TXR 1801 or 1802, or another agreed form) is signed, names which party will prepare that contract, and lapses at 5:00 p.m. on the stated date unless the receiving party signs and returns it. Seller and Buyer each sign on page 3 (up to two signatories per side with printed name, title and date).

Form Outline

The TXR 1803 form is organized into the following sections:

  1. SELLER / BUYER
Identifies the seller and buyer with full contact information: two name lines each plus address, phone, e-mail, mobile and fax/other.
  2. PROPERTY
Identifies the property under consideration (four ruled lines) and the one-line identification printed in the running header of pages 2 and 3.
  3. SALES PRICE
Outlines the proposed sales price and how it will be funded through cash, third-party financing, loan assumption, and/or seller financing. Each funding row's box is checked automatically when its amount is filled in.
  4. EARNEST MONEY
Specifies the proposed earnest money deposit.
  5. TITLE COMPANY
    Identifies the proposed title company.
  6. FEASIBILITY PERIOD
Specifies the proposed feasibility period duration (days after the effective date).
  7. FINANCING CONTINGENCY
Specifies the proposed financing contingency duration (days after the effective date).
  8. CLOSING DATE
Outlines the proposed closing date using the same three-option structure as the definitive contracts: a number of days after the feasibility period expires, a specific date, or another basis written on the line.
  9. TITLE POLICY
Designates which party pays for the title policy and which pays the additional cost to modify the standard printed survey exception.
  10. SURVEY
Specifies who obtains and pays for the survey, with an optional reimbursement cap from the other party on the two new-survey options.
  11. DEED TYPE
Designates the type of warranty deed to be delivered at closing.
  12. BROKERS
Identifies the broker representing each party (two lines each) and how Seller will pay fees: by separate written commission agreement, or as stated here — a percentage of the sales price or another amount for each broker. The Seller's broker block is the seller side; the Buyer's broker block is the buyer side.
  13. PROPERTY CONDITION
States buyer accepts the property in its present condition except for any seller repairs specified (three ruled lines).
  14. ASSIGNMENT
Specifies whether the buyer may assign the contract.
  15. SPECIAL PROVISIONS
Provides space (nine ruled lines) for additional proposed terms to be included in the definitive contract.
  16. NON-BINDING
Expressly states the letter of intent is not a legally binding agreement and neither party has any obligation until a definitive contract is signed and delivered. No blanks.
  17. CONTRACT PREPARATION
Designates which party will prepare a draft of the purchase and sale agreement using TXR 1801 (Improved), 1802 (Unimproved), or another form the parties agree on.
  18. EXPIRATION
The delivering party asks the receiving party to sign and return the letter by 5:00 p.m. on the stated date.
  19. SIGNATURES (page 3)
Seller and Buyer each have two signatory blocks: the party name (two lines), a "By:" line for the person or entity signing on the party's behalf, the signature line and the Date beside the title (placed as e-sign tabs), printed name, and title.
