Introduction

Welcome to RaiderX. These Terms of Service ("Terms") govern your access to and use of the website (raiderx.net), mobile applications, and related services (collectively, the "Services") provided by RaiderX LLC ("RaiderX," "we," "us," or "our"), a licensed real estate brokerage operating in the State of Texas.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and RaiderX.

1. Eligibility and Accounts

1.1 Eligibility

To use our Services, you must be at least 18 years of age and have the legal capacity to enter into binding agreements. For broker sponsorship services, you must hold a valid Texas real estate license issued by the Texas Real Estate Commission (TREC) or meet the requirements to obtain such license.

1.2 Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate
• Keep your login credentials confidential and not share them with others
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

1.3 Account Types

RaiderX offers different account and sponsorship types, including:

• Basic Sponsorship: Individual agent sponsorship under the RaiderX brand
• Team/Group Sponsorship: Create your own team or group brand operating under RaiderX brokerage
• LLC Sponsorship: Operate your own LLC entity with RaiderX broker sponsorship

Each account type has specific terms, features, and pricing. The specific terms of your sponsorship are governed by your Sponsorship Agreement with RaiderX.

2. Services Description

2.1 Real Estate Broker Sponsorship

RaiderX provides broker sponsorship services for licensed real estate agents in Texas. Under this sponsorship, you may conduct real estate activities under the supervision and authority of RaiderX's licensed broker. Our sponsorship services include:

• Broker sponsorship for your Texas real estate license with TREC
• Access to dedicated Account Executives for guidance and support
• 100% commission retention (you keep all your earnings)
• Compliance support and transaction guidance
• Professional resources and business support

2.2 Technology Platform & Tools

Our Services include access to various technology tools:

• CRM System: Customer relationship management tools for lead and client management
• ConsoleX: AI-powered command center for policies, procedures, tasks, and data
• AI Phone Assistants: Intelligent phone systems for call handling and lead qualification
• Document Management: Secure storage and organization of transaction documents
• E-Signature Services: Electronic document signing capabilities
• Marketing Tools: Content creation and marketing support features
• Partner Academy: Training and educational resources

2.3 Additional Services

Additional services may be available for separate fees, including:

• Transaction Coordination Services (fee per transaction)
• Invoicing and collections services
• Payroll services (for team/group sponsorships)
• Commercial transaction support (may require additional fees based on experience)

3. Fees, Payments, and Commissions

3.1 Monthly Sponsorship Fees

Sponsorship services are provided in exchange for monthly fees as outlined in your Sponsorship Agreement. Fees are due in advance on a monthly basis and are non-refundable except as required by law.

• Basic Sponsorship: $99/month
• Team/Group Sponsorship: $119/month plus $20/month per additional team member
• LLC Sponsorship: $199/month

RaiderX reserves the right to modify fees with at least 30 days prior written notice. Current pricing is always available on our website.

3.2 Commission Retention

RaiderX partners retain 100% of their earned commissions. We do not take commission splits. Your commission earnings are your own, subject to any applicable MLS fees, board dues, or other third-party fees you are responsible for paying directly.

3.3 Payment Methods

We accept various payment methods for fees and may process commission payments through direct deposit or other methods as agreed. You are responsible for maintaining accurate payment information in your account.

3.4 MLS and Board Dues

Partners are responsible for their own MLS dues, realtor association dues, and any applicable board fees. These are separate from and in addition to RaiderX sponsorship fees.

3.5 Late Payments

If payment is not received by the due date, your access to certain Services may be suspended. Continued non-payment may result in termination of your sponsorship. We may charge reasonable late fees as permitted by law.

3.6 Payment Processing Fees

When using RaiderX invoicing services to collect payments via Stripe, a payment processing fee of 3.5% - 4% applies to all transactions processed through the platform. This fee covers credit card processing, bank transfers, fraud prevention, and payment infrastructure costs.

You have the option to pass this processing fee on to your customers by enabling the "Pass fees to customer" setting in your invoice settings. When enabled, the processing fee will be added to the invoice total and paid by the customer, resulting in no net fee to you for payments collected through Stripe.

By using the invoicing features, you acknowledge and accept these payment processing fees as part of the service.

4. User Responsibilities and Conduct

4.1 Compliance with Laws and Regulations

You agree to comply with all applicable laws, including:

• Texas Real Estate License Act (TRELA) and TREC rules and regulations
• Fair housing laws (federal, state, and local)
• Anti-discrimination laws and equal opportunity requirements
• Consumer protection laws
• All other federal, state, and local laws applicable to real estate practice

4.2 License Requirements

You must maintain an active, valid Texas real estate license in good standing with TREC throughout your sponsorship. You agree to:

• Promptly notify RaiderX of any changes to your license status
• Complete all required continuing education on time
• Report any disciplinary actions, complaints, or investigations involving your license
• Cooperate with TREC and RaiderX in any audits or investigations

4.3 Professional Conduct

As a sponsored agent, you agree to:

• Conduct all real estate activities ethically and professionally
• Provide honest and accurate information to clients and other parties
• Protect client confidential information appropriately
• Disclose all material facts as required by law
• Follow RaiderX policies and procedures as outlined in the Policy and Procedures Manual
• Obtain proper approvals before publishing advertising or marketing materials
• Submit all contracts and transaction documents in a timely manner

4.4 Prohibited Activities

You may not use our Services to:

• Violate any law, regulation, or the rights of others
• Engage in fraud, misrepresentation, or deceptive practices
• Discriminate based on race, color, religion, sex, national origin, disability, familial status, or any other protected class
• Access or attempt to access accounts or systems without authorization
• Interfere with or disrupt the Services or servers
• Upload malware, viruses, or other harmful code
• Scrape, harvest, or collect data from the Services without permission
• Impersonate another person or entity
• Use the Services for any purpose other than legitimate real estate business activities

5. Intellectual Property

5.1 RaiderX Property

The Services, including all content, features, and functionality (including but not limited to software, text, graphics, logos, icons, images, and their selection and arrangement) are owned by RaiderX, its licensors, or other providers and are protected by copyright, trademark, patent, and other intellectual property laws.

5.2 License to Use

Subject to these Terms, RaiderX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your legitimate business purposes. This license does not include:

• Any resale or commercial use of the Services (other than your real estate business)
• Any derivative use of the Services or their content
• Any downloading, copying, or account information collection for any third party's benefit

5.3 Your Content

You retain ownership of content you upload or create using the Services ("Your Content"). By uploading or submitting Your Content, you grant RaiderX a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Your Content solely for the purpose of providing the Services to you.

5.4 Trademark Usage

The RaiderX name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RaiderX. Your use of RaiderX branding must comply with our brand guidelines and any applicable TREC advertising requirements.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

You acknowledge that RaiderX may retain records as required by TREC regulations and applicable law, including transaction documents and communications, for the required retention periods.

7. AI Services and Automated Features

7.1 AI-Powered Tools

RaiderX provides AI-powered tools including ConsoleX, AI phone assistants, and automated features. While these tools are designed to assist you, they:

• May not always provide complete or accurate information
• Do not replace professional judgment, legal advice, or broker/attorney consultation
• Should not be relied upon for making legal, financial, or critical business decisions without verification

7.2 AI Usage Guidelines

When using AI features, you agree not to input sensitive personal information about clients, passwords, financial account details, or confidential information that should not be processed by third-party AI services.

8. Third-Party Services

The Services may integrate with or provide access to third-party services, including but not limited to:

• E-signature services (BoldSign)
• Email delivery services (Resend)
• AI services (OpenAI)
• Cloud storage services
• Payment processing services
• MLS systems and databases

Your use of third-party services is subject to their respective terms of service and privacy policies. RaiderX is not responsible for the practices or content of third-party services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, RAIDERX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

RaiderX does not warrant that the Services will meet your specific requirements or that any errors will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAIDERX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
• DAMAGES ARISING FROM THE CONDUCT OF OTHER USERS OR THIRD PARTIES

IN NO EVENT SHALL RAIDERX'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO RAIDERX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless RaiderX and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or the rights of any third party
• Your real estate activities, transactions, and client relationships
• Any claims arising from your conduct as a licensed real estate agent

12. Termination and Suspension

12.1 Termination by You

You may terminate your account and sponsorship at any time by providing written notice to RaiderX in accordance with your Sponsorship Agreement. Upon termination, you must:

• Complete all pending transactions or transfer them appropriately
• Submit all required documentation and records to RaiderX
• Cease using RaiderX branding and marketing materials
• Coordinate the transfer of your license sponsorship to another broker

12.2 Termination by RaiderX

RaiderX may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or your Sponsorship Agreement
• Non-payment of fees
• Loss of or issues with your real estate license
• Conduct detrimental to RaiderX or its reputation
• Violation of law or TREC regulations
• Any other reason RaiderX deems appropriate in its sole discretion

12.3 Effects of Termination

Upon termination, your right to use the Services will immediately cease. RaiderX will initiate the process to release your license sponsorship. You acknowledge that RaiderX may retain certain records as required by law.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact RaiderX and attempt to resolve the dispute informally by sending a written notice describing the dispute to legal@raiderx.net. We will try to resolve the dispute within 30 days.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Texas. You consent to the personal jurisdiction of such courts.

13.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. General Provisions

14.1 Entire Agreement

These Terms, together with your Sponsorship Agreement, Privacy Policy, and any other agreements you enter into with RaiderX, constitute the entire agreement between you and RaiderX regarding the Services.

14.2 Amendments

RaiderX may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. RaiderX's failure to exercise any right under these Terms shall not constitute a waiver.

14.5 Assignment

You may not assign or transfer these Terms or your rights without RaiderX's prior written consent. RaiderX may assign these Terms without restriction.

14.6 Force Majeure

RaiderX shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including natural disasters, acts of government, or disruptions to infrastructure.

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
